The 54th Annual Meeting Of The Members Of
Niobrara Valley E.M.C. Held March 4, 2002

The Fifty-Fourth Annual Meeting of Niobrara Valley Electric Membership Corporation was held on March 4, 2002 at the Knights of Columbus Hall in O'Neill. Present at the meeting were 169 members, 51members represented by proxy and 33 guests. Special guests were introduced and the officers gave their reports.

President, Larry Anderson made a few comments on the progress of the cooperative.

An amendment was proposed to Article X - Financial Transactions, Section 3 - Deposits of the Corporation By-laws. The proposed amendment would limit investment of Corporation funds to only those banks within the boundaries of the Cooperative. The proposed amendment was reviewed and comments were made by members present at the meeting. The result of the amendment vote was reported as follows:

The amendment was therefore not approved by the membership.

Three director terms were up for election. The results of the director election were reported to the meeting as follows:
